These Terms and Conditions (“Terms”) govern your use of hoodzradio.com, our live stream, shows, podcasts, shop, and related services (together, the “Service”), operated by Hoodz Radio.com LLC, a subsidiary of Hoodz Holding LLC (“Hoodz Radio,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you don’t agree, please don’t use the Service.

This is a general-purpose Terms of Service and is not a substitute for legal advice. We recommend having these Terms reviewed by an attorney to confirm they fit your specific business needs before relying on them.

1. Who Can Use the Service

You must be at least 13 years old to use the Service. If you’re under 18, you should review these Terms with a parent or guardian. By using the Service, you confirm you meet this requirement.

2. The Service

Hoodz Radio is an independent, 24/7 hip-hop and R&B internet radio station. Through the Service you can listen to our live stream, browse our show schedule and podcasts, submit music, apply to become a DJ or host, book a guest appearance, and purchase merchandise through our shop. We may add, change, or remove features at any time.

3. Accounts

Some parts of the Service, like the shop, may require you to create an account. You’re responsible for keeping your login credentials confidential and for all activity under your account. Let us know right away if you suspect unauthorized use of your account.

4. Submitted Content — Music, Applications, and Bookings

When you submit music, a DJ & Host application, a guest booking request, or any other content or material to Hoodz Radio through our forms (“Submitted Content”), the following applies:

• You keep ownership. You retain all ownership rights in your Submitted Content. Submitting it to us does not transfer ownership to Hoodz Radio.
• You grant us a license to use it. By submitting content to us, you grant Hoodz Radio a non-exclusive, worldwide, royalty-free, sublicensable license to broadcast, stream, reproduce, distribute, publicly perform, and promote your Submitted Content — and your name, likeness, and biographical information provided with it — in connection with operating and promoting Hoodz Radio (on-air, on our website, and across our social media and marketing channels).
• You confirm you have the rights to give us this license. You represent that you own or have all necessary rights, licenses, and clearances (including from any co-writers, performers, or sample/rights holders) to submit the content and grant us this license, and that it doesn’t infringe anyone else’s rights.
• No obligation to use it. Submitting content doesn’t guarantee it will be played, published, or that your application or booking request will be accepted. We evaluate submissions at our discretion.

5. Our Content and Trademarks

Everything on the Service that we create — including our name, logo, on-air content, articles, graphics, and design — is owned by Hoodz Radio or our licensors and is protected by copyright and trademark law. “Hoodz Radio” is a registered trademark (USPTO Ser. No. 99766171). You may not use our name, marks, or content without our written permission, except for ordinary sharing (like linking to our site or sharing our posts) that doesn’t imply endorsement or misrepresent the source.

6. Purchases

Merchandise purchased through our shop is processed through WooCommerce and WooPayments, and physical items are printed and shipped by our fulfillment partner, Printful. Prices, availability, and shipping times are as shown at checkout and are subject to change. Please review your order carefully before completing checkout, as most print-on-demand items are made to order. If there’s an issue with your order, contact us at ad*******@********io.com and we’ll work with you to resolve it.

7. Acceptable Use

When using the Service, you agree not to:

• Submit content that is unlawful, defamatory, obscene, or infringes someone else’s rights
• Impersonate any person or entity, or misrepresent your affiliation with anyone
• Interfere with or disrupt the Service, our stream, or our servers
• Attempt to access accounts, systems, or data that aren’t yours
• Use the Service for any unlawful or fraudulent purpose

8. Copyright Complaints

We respect intellectual property rights and expect the same from our users and submitters. If you believe content on the Service infringes your copyright, contact us at ad*******@********io.com with a description of the work, its location on our Service, and your contact information, and we’ll investigate.

9. Third-Party Links and Services

The Service may link to or integrate with third-party platforms (like TuneIn, YouTube, or our payment and fulfillment providers). We don’t control those platforms and aren’t responsible for their content, policies, or practices. Use of third-party services is subject to their own terms.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied. We don’t guarantee the stream, website, or any feature will be uninterrupted, error-free, or available at all times.

11. Limitation of Liability

To the fullest extent permitted by law, Hoodz Radio.com LLC and Hoodz Holding LLC will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us, if any, in the twelve months before the claim arose.

12. Indemnification

You agree to indemnify and hold Hoodz Radio harmless from any claims, damages, or expenses (including reasonable attorney’s fees) arising from your use of the Service, your Submitted Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, for any reason, including violation of these Terms. You may stop using the Service at any time.

14. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, and any disputes will be resolved in the state or federal courts located in New York.

15. Changes to These Terms

We may update these Terms from time to time. We’ll post the updated version here with a new “Last updated” date. Continued use of the Service after a change means you accept the updated Terms.
